1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Paidly ("we," "us," or "our") regarding your use of the Paidly invoicing service available at paidly.co (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Service Description

Paidly provides an AI-powered invoicing platform that enables you to:

  • Upload and parse contracts using AI to extract invoice data
  • Create, send, and track invoices
  • Generate professional PDF invoices with your business branding
  • Send invoice emails with PDF attachments to clients
  • Send smart payment reminder emails
  • Accept payments through Stripe integration
  • Manage client information and payment records
  • Access analytics and reporting features (depending on your plan)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

4. User Account

4.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Account Security

You agree to:

  • Use a strong password and keep it confidential
  • Notify us immediately of any unauthorized access to your account
  • Not share your account with others
  • Log out after each session when using a shared device

4.3 Account Termination

You may delete your account at any time through the Settings page. We may suspend or terminate your account if you violate these Terms.

5. Subscription and Payments

5.1 Subscription Plans

We offer the following subscription plans:

  • 14-Day Trial (Free): 14-day trial period with 3 contract scans, unlimited invoice drafts, 3 invoice sends via email, 1 AI Invoice Roast, Stripe payment links, payment tracking. Trial expires after 14 days - upgrade required to continue using Paidly.
  • Starter ($29/month): Unlimited contract scans, unlimited invoices, unlimited email sends, professional PDF generation, Stripe payments, 1 free AI Invoice Roast per month, smart payment reminders, client management, invoice analytics, branding removal

Additional tiers may be added in the future as we expand features and capabilities.

5.2 Billing

Subscription fees are billed in advance on a monthly basis. All payments are processed securely through Stripe. You authorize us to charge your payment method on file for the applicable fees.

5.3 Automatic Renewal

Your subscription will automatically renew each month unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

5.4 Refund Policy

We offer a 14-day money-back guarantee for new subscriptions. If you cancel within 14 days of your initial purchase, you will receive a full refund. Subsequent renewals are non-refundable, but you can cancel to prevent future charges.

5.5 Price Changes

We may change subscription prices with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals.

6. User Responsibilities

You agree to:

  • Provide accurate and complete information when creating invoices
  • Comply with all applicable laws and regulations, including tax laws
  • Not use the Service for any illegal or unauthorized purpose
  • Not upload malicious code, viruses, or harmful content
  • Not attempt to gain unauthorized access to the Service or other users' accounts
  • Not scrape, copy, or reverse-engineer the Service
  • Not impersonate others or misrepresent your affiliation
  • Respect intellectual property rights

7. Your Content

7.1 Ownership

You retain all ownership rights to the content you upload to the Service, including contracts, invoices, client data, and other information ("Your Content").

7.2 License to Us

By uploading Your Content, you grant us a limited, non-exclusive, royalty-free license to use, store, and process Your Content solely for the purpose of providing the Service to you. This includes processing contracts through AI and generating invoices.

7.3 Responsibility

You are solely responsible for Your Content and the consequences of uploading it. We do not endorse or assume responsibility for any content uploaded by users.

7.4 Prohibited Content

You may not upload content that:

  • Violates any law or regulation
  • Infringes on intellectual property rights
  • Contains malicious code or viruses
  • Is fraudulent, deceptive, or misleading
  • Violates the privacy rights of others

8. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Paidly and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

"Paidly" and our logo are trademarks of Paidly. You may not use our trademarks without our prior written consent.

9. AI Processing

When you upload contracts for AI parsing, we use Google's Gemini AI API to extract relevant information. By using this feature, you acknowledge that:

  • AI-generated results may contain errors or inaccuracies
  • You are responsible for reviewing and verifying all AI-extracted data
  • We are not liable for errors in AI-generated invoice data
  • Your contracts are processed according to Google's privacy policy
  • Google does not use your data to train their models

10. Third-Party Services

The Service integrates with third-party services, including:

  • Stripe: For payment processing and subscriptions
  • Google Gemini: For AI-powered contract parsing
  • Supabase: For data storage and authentication
  • Resend: For email delivery
  • PostHog: For product analytics
  • Sentry: For error monitoring

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of third-party services.

11. Disclaimers

11.1 General Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that:

  • The Service will be error-free or uninterrupted
  • Defects will be corrected
  • The Service will meet your specific requirements
  • AI-generated data will be accurate or complete
  • Your data will be immune from unauthorized access (though we implement security measures)

11.2 Not Professional Advice

IMPORTANT: Paidly provides tools and features to assist with invoicing and contract management, but we are NOT lawyers, accountants, tax advisors, or financial professionals. The Service, including all AI-generated insights, recommendations, and analysis, is for informational and educational purposes only and does NOT constitute legal, financial, tax, accounting, or professional advice.

You should think of Paidly as a knowledgeable friend who has reviewed many contracts and wants to help—but we are not qualified professionals. You must ALWAYS consult with qualified legal, tax, and financial advisors before making decisions about your rates, contracts, payment terms, or business structure.

11.3 AI Invoice Roast Feature

The "AI Invoice Roast" feature analyzes your invoices and provides feedback on rates, contract terms, and market positioning. This analysis is for informational and entertainment purposes only and is NOT professional advice. The AI Roast:

  • May contain errors, inaccuracies, or outdated market data
  • Does not account for your specific industry, location, experience, or business circumstances
  • Should not be relied upon as the sole basis for pricing or contract decisions
  • Does not constitute legal, financial, or professional consulting services
  • Is based on general market trends and may not reflect your local market conditions

Before making any changes to your rates, contracts, or business terms based on the AI Roast feature, you should consult with qualified professionals including lawyers, accountants, and financial advisors who understand your specific situation.

11.4 No Guarantee of Payment

Paidly provides tools to create, send, and track invoices, but we do NOT guarantee that your clients will pay you. Payment collection is solely between you and your clients. We are not responsible for:

  • Non-payment by clients
  • Late payments or payment disputes
  • Chargebacks, refunds, or payment reversals
  • Client insolvency or inability to pay
  • Disputes about the quality of your work or deliverables
  • Contract disputes or disagreements about payment terms

11.5 Contract Review Responsibility

When you upload contracts for AI parsing, the Service attempts to extract relevant information such as payment terms, rates, and milestones. However, YOU are solely responsible for:

  • Reviewing all AI-extracted data for accuracy and completeness
  • Understanding the legal implications of your contracts
  • Ensuring your contracts are valid and enforceable
  • Complying with applicable laws, regulations, and tax requirements
  • Consulting with lawyers, tax advisors, and accountants before signing contracts or making contract changes

Do not rely on Paidly's AI parsing or suggestions as a substitute for professional legal, tax, or financial review of your contracts.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIDLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Paidly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

14. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Service will cease immediately
  • We will delete or anonymize your data within 30 days (unless required to retain it)
  • You will not be entitled to a refund for any unused portion of your subscription
  • You may export your data before deletion through your account settings

15. Dispute Resolution

15.1 Informal Resolution

If you have a dispute with us, please contact us first at [email protected] to attempt to resolve the issue informally.

15.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be held in Oklahoma, United States, and will be conducted in English.

15.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and that you waive your right to participate in a class action lawsuit or class-wide arbitration.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, United States, without regard to its conflict of law provisions.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paidly regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
